1. About Us and Our Role

Applegate REITS ("the Platform", "we", "us") is an online introduction service that connects potential investors with landlords, construction companies and land developers seeking private funding for property projects. We do not provide regulated investment, financial, legal or tax advice and we are not authorised or regulated by the UK Financial Conduct Authority.

Our role is limited to introducing parties. We do not arrange, manage, operate or promote any collective investment scheme or pooled investment product.

2. No Client Money, No Custody

We do not hold, receive, control or transmit investor funds at any time. All payments, investments and returns are made directly between investors and the relevant landlord, developer or other third party ("Project Sponsor"). You are responsible for carrying out your own checks before sending any money.

Information on this Platform is provided for general information only and does not constitute:

4. Investor Eligibility and Self‑Certification

By using the Platform and engaging with any opportunity you confirm that you are legally permitted to receive information about unlisted or privately offered investments in your jurisdiction and, where required, that you meet any applicable "high net worth", "sophisticated" or similar criteria under UK law and exemptions in the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005.

5. Risks and No Guarantee of Returns

All investments carry risk. Property and development projects can fail, returns can be lower than expected, and you may lose some or all of the money you invest. Past performance or forecasts are not reliable indicators of future results. No return or repayment is guaranteed by us.

6. No Responsibility for Third Parties or Losses

Each investment agreement is strictly between you and the relevant Project Sponsor. We are not a party to your contract and have no control over:

7. Due Diligence and Checks

We may carry out limited checks on Project Sponsors (for example identity or basic company‑registration checks), but we do not verify, audit or guarantee any information, projections or documentation they provide. Our listing of a project on the Platform does not mean we endorse or approve it.

8. No Regulated Collective Investment Scheme

The Platform does not pool investor money or manage a fund. Each investor contracts directly with a Sponsor on a one‑to‑one basis. Nothing on the Platform is intended to constitute an unregulated collective investment scheme or other regulated investment product under UK law.

Except where liability cannot be excluded by law, we are not liable to you for any indirect, consequential or special loss, loss of profit, loss of opportunity, business, goodwill or data, whether arising in contract, tort (including negligence) or otherwise, in relation to your use of the Platform or any investment you choose to make.

11. Changes and Termination

We may change, suspend or withdraw the Platform, or update these Terms, at any time. Continued use after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
